Responsibility for Nation and Society

CS WIND strives to comply with domestic and international laws and regulations, and international conventions related to the environment and to preserve a clean environment.
CS WIND conducts business in a way that creates employment, pays taxes faithfully, and contributes to the development of the nation and local communities.
CS WIND recognizes that social contribution activities are the responsibilities for the nation and the regions where its businesses are carried out, and actively participates in social contribution activities.

Code of Ethics

CS Wind Co., Ltd. (“CS Wind” or the “Company”) pursues its core value, i.e. growing into a global corporate citizen along with all interested persons, including shareholders, through innovative and passionate management activities. In and for such growth, CS Wind complies with and respects all laws and regulations, market order, socially universal valid values, and ethical norms related to management activities based on ethical management. Accordingly, CS Wind enacts and actively practices a code of ethics to contribute to the development of sound corporate culture and social culture as a member of the domestic and international community and to become a company that is socially trusted and respected.

Practical Guidelines
  • 1.Scope of Application & Effective Date
    A) This code of ethics (the “Code”) applies to CS Wind Co., Ltd., its subsidiaries, other affiliated companies, and all of their executives and employees. The Code sets forth ethical values and behavioral standards that everyone shall protect and develop. B) The executives and employees of CS Wind, its subsidiaries, and affiliates shall be familiar with and comply with the contents of this Code. C) The Company may regularly inspect the compliance of executives and employees with the Code, and may apply the Code by requesting advice from the audit committee for transparent and accurate implementation of the Code (the “Audit Committee”). D) The Company may enact and implement separate code of ethics or behavior guidelines in order to actively implement the Code.
  • 2.Reporting Violation & Protection of the Informant/Whistle-Blower
    A) All executives and employees subject to the Code shall not make decisions or actions contrary to the Code, and if they are aware a violation of or forced to violate the Code, they shall report them as prescribed by the Audit Committee without delay. B) All interested persons of the Company shall report unethical, legal, or corruption of executives and employees subject to this Code through a reporting procedure supervised by the Audit Committee, and the Company shall guarantee strict confidentiality regarding the informant’s title and information and shall prohibit any form of disadvantage to the informant.
  • 3.Measures for Violation of the Code
    A) Violations of this Code of Ethics are subject to disciplinary action, regardless of their severity, in accordance with the procedures prescribed by the Company’s regulations and relevant laws, and the results of disciplinary action shall be disclosed to raise awareness through an internal notice to the entire executives and employees. B) Strong disciplinary action/punishment shall be imposed for the following acts:
    ① Requiring or causing an interested person to violate the Code;
    ② Knowingly covering up or failing to report a violation of the Code without any justifiable cause;
    ③ Refusal or failure to cooperate with the Company's investigation into violations of the Code; or
    ④ Act of retaliation against executives and employees who reported violations of the Code.
    C) In the event of an employee's violation of the Code of ethics, the Company shall thoroughly investigate and identify the cause and shall takes all measures to prevent recurrence, such as education and institutional maintenance.
  • 4.Social Contribution
    A) The Company not only contributes to the development of the national economy through technology development, tax payment, profit, and employment creation, but also contributes to the social and cultural development of each country through social contribution activities. B) As a member of society, the Company actively participates in social contribution activities such as social service, disaster relief, and welfare activities, and contributes to the improvement of the quality of life of everyone by sponsoring various cultural projects such as academics, arts, and sports.
  • 5.Environment Management
    A) The Company shall take the lead in conservation activities in order to minimize the waste of natural resources involved in management activities and pass on a better natural environment to the next generation. B) The Company shall establish an environmental management system in response to climate change and shall evaluate and manage environmental impacts and risks from corporate activities so that it can achieve environmental goals agreed domestically and internationally. C) The Company shall conduct eco-friendly management to reduce the use of fossil fuels and energy produced based thereon and to reduce greenhouse gas emissions.
  • 6.Compliance in Management Activities
    A) As a member of the international society, the Company shall respect and comply with the laws and policies of the country where its business activities are carried out, and shall also comply with related regulations such as treaties, agreements, and generally approved international laws for a fair and free international transaction order. B) The Company shall respect and support international standards related to human rights, establish clear human rights protection policies and systems, and prevent human rights from being violated in the course of management activities. C) The Company shall strictly prohibit acts that harm the fair trade order, such as illegal insider trading and unfair support, and acts that perform or engage in money laundering. D) The Company shall not acquire profits by fraudulent means and shall respect the property rights and rights of others, including intellectual property rights, and shall not make transactions or gains by infringing on them.
  • 7.Righteous Management
    A) The Company shall be faithful to the principles and basics necessary for management activities and manage properly by generating legitimate profits through honest methods. B) The Company shall not acquire profits by fraudulent means and shall respect the property rights and rights of others, including intellectual property rights, and shall not make transactions or gains by infringing on them. C) Corporate information, such as customers and competitors, shall be acquired and utilized only through a legitimate method.
  • 8.Respect for Shareholders and Investors
    A) The Company recognizes that ethical management is the basis for realizing sustainable profits and protecting the rights of shareholders and investors and strives to establish mutual trust with all shareholders and investors. B) The Company shall treat all shareholders fairly and equally and ensure that the interests or rights of minority shareholders are not unfairly violated in managing the company. C) The Company shall respect shareholders' legitimate demands and proposals for the management of the Company and provide in time accurate management information including accounting information in accordance with relevant laws and regulations for reasonable judgment of shareholders and investors.
  • 9.Respect for Customers
    A) The Company shall keep in mind that its customer is also a partner of the Company's growth and development, and as a trusted company by the customer, it strives to create value that helps the development of the customer. B) The Company shall not infringe on the interests of customers through unethical business activities or illegal activities, and shall not acquire information from customers, leak information related to customers, or use it for any purpose other than business purposes. C) The Company shall actively accept the legitimate needs and rational proposals of the customer and foster an attitude of respecting the customer's culture and customs.
  • 10. Respect for Partner Companies
    A) In order to establish a sound supply chain, the Company shall enable partners to provide high-quality products and high-quality services through smooth communication and mutual cooperation with partners, and ensure reasonable transaction conditions to develop a long-term and mutually reliable partnership. B) The Company shall not abuse its superior position against or exert unfair influences on its partners to provide unfair support or trade in violation of the Monopoly Regulation and Fair Trade Act and the Fair Transactions in Subcontracting Act, such as restrictions on sales areas and coercion of refusal to sell to competitors. C) The Company and its executives and employees shall provide fair opportunities to their partners, and shall not receive bribes or solicitation from specific companies, or preferential treatment for specific individuals or corporations to sign private contracts, to purchase expensive goods, or to leak transaction information in advance. D) In the event that an executive or employee is found to be able to influence an objective and independent judgment in performing the business of a partner company or the Company, he/she shall immediately inform the Company of this fact and avoid engaging in such matter. E) The Company shall consider whether it meets the human rights, ethics, environment, and social values pursued by the Company in selecting partners.
  • 11. Respect for Competitors
    A) The Company shall respect fair and free market economy order, participate in the market according to its principles, and compete fairly with its competitors to grow. B) In order to comply with domestic and foreign fair trade-related laws and regulations and win the competition, the Company shall not harm the fair economic order in an illegal way. C) Executives and employees shall not receive information from competitors without the approval of the manager or obtain information from competitors in exchange for disclosing or sharing information from the Company without reasonable reasons.
  • 12. Respect for Executives and Employees
    A) The Company shall personally respect all executives and employees constituting the Company, recognize that the development of executives and employees is the development of the Company, and realize a policy to foster human resources that can mutually develop. B) The Company shall hire based on the individual capabilities and qualities of executives and employees and give fair opportunities accordingly, and evaluate and compensate their performance fairly according to transparent evaluation criteria. C) The Company shall not discriminate against executives and employees for any reason, such as gender, race, skin color, language, ethnicity, nationality, religion, educational background, disability, marriage and pregnancy, age, blood ties, status, political views and sexual orientation, etc.
  • 13. Establishing a Healthy Organizational Culture
    A) The Company shall create a safe working environment where all employees can perform their work in a mentally and physically healthy state and create a working environment where all employees can freely make suggestions and suggestions. B) The Company shall respect the dignity, values, and basic rights of each employee as a human being, and shall ensure that they perform their duties based on autonomy and creativity. C) The Company shall respect each employee's privacy and various cultural differences, and provide working conditions and benefits for all executives and employees to pursue work-life balance.
  • 14. Basic Ethics
    A) Executives and employees shall faithfully perform the tasks assigned by the Company based on autonomy and creativity so as to realize the Company's management ideology and the goals and values pursued by the Company. B) In performing duties, executives and employees shall be familiar with and comply with the Company’s regulations and business-related laws, including this Code. C) Executives and employees shall handle the given tasks fairly, reject illegal and unfair instructions, and report them to the Company.
  • 15. No Conflicts of Interest
    A) Executives and employees shall not make transactions with the Company or its transaction partners by utilizing their status within the Company or confidential information or take any form of gain therefrom. B) Executives and employees shall not engage in any act that conflicts with the interests of the Company using themselves or a third party, and shall immediately report to the Company any existing or potential conflict of interest as prescribed by the Audit Committee and resolve such situation.
  • 16. Prohibition of Illegal Use of the Company Assets
    A) Executives and employees are obligated to recognize that information/data held by the Company and information/data related to the Company acquired in the course of or for business are valuable assets of the Company, and that such assets may not be used for purposes other than work or be disclosed or leaked to the outside. B) Executives and employees shall not trade stocks using internal or undisclosed information acquired in the course of business or provide such information to a third party to trade stocks. C) Executives and employees shall not use the Company's tangible and intangible assets for private purposes or for any purpose other than designated business purposes, and shall not use them to generate personal profits. D) Executives and employees shall not use the Company's budget, such as meeting expenses, business promotion expenses, and business trip-related expenses, for personal purposes or those other than work-related ones.
  • 17. Healthy Relationships between Colleagues
    A) Executives and employees, regardless of their intention or the identity of the other party, shall not engage in physical, verbal, or visual actions or possess objects or materials that may cause sexual discomfort, and agree that the Company imposes disciplinary actions in accordance with the zero-tolerance principle. B) Executives and employees shall not use or engage in any language or action, such as unfair instruction, criticism, violence, harassment, or bullying, which harms healthy colleague relationships. C) Executives and employees shall not make or receive illegal requests or be requested from fellow executives and employees, and shall not use their status to force or treat others unfairly. D) Executives and employees shall respect each member's personality and work area and cooperate with each other in order to increase the effectiveness and efficiency of work.
  • 18. No Unfair Political Activities
    A) Executives and employees shall not engage in political activities during working hours and shall not use the Company's physical and human assets for political purposes. B) Individual executives and employees' right to participate in politics shall be respected, but executives and employees shall not penalize others, impose disadvantages, or force them to participate in political activities because of different political views.
  • 19. Prohibition of Receiving Money or Assets
    A) Executives and employees shall not receive, demand, or promise any form of profit, such as money, gifts, or entertainment, from parties who have interests in the Company, such as customers and business partners. B) Executives and employees shall not provide money, gifts, or entertainment to parties who have interests in the Company at a level that the Company does not determine or that deviates from social norms. C) Executives and employees shall not receive, demand, or promise money or excessive gifts or entertainment even with each other. D) Executives and employees shall not engage in transactions that take financial benefits such as loans, loan guarantees, and real estate leases with those who have interests in the Company.
  • 20. Severity of Finance-Related Matters
    A) The management, including the representative director and executives in charge of financial matters, and employees in charge of financial, accounting, funds, tax, disclosure and investment matters (the "Financial Executives and Employees") shall comply with this Code and perform their duties based on the highest level of honesty and ethics. B) The Financial Executives and Employees shall record and manage the financial status of the Company honestly and accurately in compliance with relevant domestic and foreign laws, supervisory regulations and accounting standards of the supervisory authorities, and generally recognized accounting principles. C) The Financial Executives and Employees shall completely, fairly, accurately, and transparently prepare and provide in a timely manner data submitted to government agencies, etc. or publicly announced to the outside. D) The Financial Executives and Employees shall immediately report to the Audit Committee if they violate or are likely to violate this Code, and if there is any doubt whether their actions violate this Code or relevant laws, shall consult with the compliance department.
